Introduction
These Terms and Conditions govern the provision of project management services by MRG-N ("we," "us," "our") to the client ("you"). By engaging our services, you agree to the terms outlined below.Scope of Services
MRG-N is a Marketing Agency providing solutions including but not limited to:

Social media management & content creation
Google & SEO services
Details of specific services will be outlined in your agreement.
Packages
We offer three tailored management packages to suit your project needs:
30% Management – “We Provide the Resources, You Handle the Rest”
What’s included:
An initial consultation to gather your brief and understand your project requirements.
We source the best-fit resources (people or companies) based on your brief and budget.
Upon completion, we hand over the final deliverables to you.
Our Responsibility:
Source the best-fit resources (people or companies) based on your brief and budget.
Ensure all deliverables meet the agreed-upon standards and requirements before handover.
Hand over the final deliverables to you upon receipt of the final payment.
Provide you with updates aligned with your preferred communication schedule (e.g., weekly, bi-weekly).
Address any questions or clarifications promptly to keep the project on track.
Maintain clear and professional communication throughout the process to ensure alignment and transparency.
Your Responsibility:
You will manage the project once the final deliverables have been provided.
You retain full control over the ongoing management and execution of the project after the initial resources have been delivered.
Adhere to agreed timelines and budgets for the project to ensure its successful completion.
Notify us promptly if there are any discrepancies or issues with the deliverables before the project handover is finalised.
Maintain responsibility for any updates, changes, or revisions required after the project has been handed over.
Payment Terms:
A 40% upfront deposit of your initial budget is required before work commences. This deposit covers our time and ensures commitment from both parties, enabling us to begin the sourcing process. Once the resources and companies are confirmed, the remaining 60% will be due before we hand over the project to you.
Although payments are made in instalments, by choosing to work with us, you confirm that you have access to, and have 100% of the required funds available, at the time of signing up. This ensures the project can progress smoothly and without any interruptions.
50% Management – “You Bring the Resources, We Bring the Structure”
What’s included:
An initial consultation to fully understand your brief and project needs.
Our project managers step in to organise, streamline, and oversee the process, ensuring your project runs smoothly and efficiently.
Coordination and alignment of all project components, including timelines, milestones, and resource allocation.
Regular updates and progress reports based on your preferred communication schedule.
Quality assurance at key stages to ensure the project meets agreed standards.
Our Responsibility:
Work with you to define clear roles and responsibilities for all parties involved in the project.
Create a detailed project plan, including timelines, deliverables, and key milestones, to ensure the process is structured and transparent.
Coordinate with your provided resources to align their work with the overall project goals and strategy.
Monitor progress and proactively identify and address potential risks or roadblocks.
Ensure regular, clear communication.
Maintain quality control throughout the project, ensuring that deliverables meet agreed standards before progressing to the next stage.
Provide post-launch or post-completion transition support if agreed upon in advance.
Your Responsibility:
Collaborate with us to agree on specific roles and responsibilities. For example, you may oversee the creative direction, while we manage timelines, resource coordination, and quality control.
Provide clear and timely communication regarding any updates, changes, or approvals required.
Supply all necessary resources (e.g., team members, external agencies, or tools) and ensure they are available to execute the project effectively.
Maintain responsibility for any areas agreed to be under your control, such as content creation, brand direction, or director engagement.
Confirm all deliverables and provide feedback promptly to avoid delays.
Payment Terms:
A 50% upfront deposit is required to initiate the project. This deposit ensures we can begin resourcing and structuring the project effectively. 35% of the remaining budget is due once all organisational structures are agreed, and the project is fully mapped out and ready for execution. The final 15% is due on the agreed project deadline date or three months after the project start date, whichever comes first.
Although payments are made in instalments, by choosing to work with us, you confirm that you have access to, and have 100% of the required funds available, at the time of signing up. This ensures the project can progress smoothly and without any interruptions.
100% Full Management – “We Provide the Resources & Manage the Entire Project”
What’s included:
Full project oversight from start to finish.
Management of all aspects of your project, including planning, resource sourcing, execution, communication, and implementation.
Regular updates and approvals at key stages, keeping you informed without requiring constant involvement.
Liaison with all service providers, vendors, and partners to ensure the project progresses smoothly and meets all objectives.
Quality assurance at each stage, ensuring deliverables are of the highest standard.
Our Responsibility:
Take full ownership of the project, from initial planning to final delivery.
Develop a detailed project roadmap, including timelines, milestones, and deliverables.
Source, onboard, and coordinate with the best-fit resources (people or companies) to achieve your goals.
Proactively communicate progress through regular updates based on your preferred frequency.
Handle all communication and negotiations with service providers, partners, and vendors.
Identify and address any risks, challenges, or obstacles to keep the project on track.
Ensure deliverables align with the agreed brief and meet quality expectations.
Provide a seamless handover or post-launch support, depending on your preference.
Your Responsibility:
Provide us with the most up-to-date and accurate project brief to guide our work.
Respond promptly to communications, especially for approvals or critical decisions, to avoid delays.
Share any relevant materials, resources, or preferences that will impact the project’s direction.
Communicate any changes to your goals or requirements as soon as possible so we can adapt accordingly.
Payment Terms:

All payments must be made in GBP unless otherwise agreed.
Client must provide all necessary information, access, and support required to facilitate the timely delivery of services.
SEO & Google Services Payment Terms
Please note that any spend related to PPC (Pay-Per-Click) and SEO (Search Engine Optimisation) services is billed either on a monthly basis or as a one-off fee, depending on the agreement. While we are committed to delivering the best possible results and have a proven track record of successful campaigns, it is important to understand that we cannot guarantee a specific return on investment. We will always strive to maximise your outcomes, but results can vary due to numerous factors outside our control.
Confidentiality
Non-Disclosure of Information:
All information outside of project scope shared during the course of our engagement will remain strictly confidential. MRG-N will not disclose any confidential information to third parties without your prior consent unless disclosure is required by law.Secure Handling of Data:
We will take reasonable measures to protect the confidentiality and security of all data and information shared with us, ensuring it is used solely for the purposes outlined in our agreement.Exceptions to Confidentiality:
This confidentiality clause does not apply to information that is publicly available, already in MRG-N’s possession without obligation of confidentiality, or independently developed without reference to the client’s information.Return or Destruction of Information:
Upon completion or termination of the project, any confidential materials provided by the client will be returned or securely destroyed, unless otherwise agreed.
Liability
Limitations of Liability:
MRG-N is not liable for any indirect, consequential, or incidental damages arising from the use of our services. This includes, but is not limited to, loss of profit, business interruption, or reputational damage resulting from delays, errors, or other unforeseen circumstances.Third-Party Vendors and Service Providers:
While we take care to select and vet third-party vendors or service providers in line with your brief, MRG-N is not responsible for their work, performance, or any issues arising from their services. Responsibility for the quality and timeliness of deliverables lies with the third-party providers.Timeframes and Deadlines:
Timeframes provided by vendors or service providers are their sole responsibility to meet. MRG-N will make reasonable efforts to manage timelines and facilitate communication, but we cannot guarantee adherence to deadlines set by third parties.Client-Specific Input:
MRG-N is not liable for delays or issues caused by incomplete, inaccurate, or late information provided by the client. It is your responsibility to ensure that all necessary materials and approvals are provided in a timely manner to support project progression.Force Majeure:
MRG-N is not responsible for delays or failures caused by events outside our reasonable control, such as natural disasters, strikes, technical failures, or other unforeseen circumstances.Limitation of Remedy:
In all cases, MRG-N’s liability for any claim related to the services provided will be limited to the total amount paid by the client for those services.
Termination
Termination by Either Party:
Either party may terminate the agreement by providing written notice.Payment Obligations:
In the event of termination, services rendered up to the termination date will be invoiced and must be paid in full, including any non-refundable deposits.Specific to 30% and 50% Packages:
For the 30% and 50% packages, if the project is handed over and you choose to terminate the agreement post-launch, no further involvement will be required from us.
Any remaining tasks, updates, or revisions will become the responsibility of the client or their chosen representatives.
Specific to the 100% Package:
For the 100% package, if the project is terminated before completion, we will assess the project’s current status and mutually agree on the next steps for handover or continuation.
Additional fees may apply for documenting and transitioning unfinished work to another party or for extended support beyond the termination date.
Force Majeure Clause:
Termination due to circumstances beyond either party’s control (e.g., natural disasters, legal changes, or other force majeure events) will be handled in good faith, with reasonable efforts to minimise disruption.Post-Termination Obligations:
Any confidentiality agreements, payment obligations, and rights to work already delivered will survive termination.
